The Securities and Exchange Commission (SEC) defines an accredited investor under Regulation D of the Securities Act of 1933. An individual qualifies as "Accredited" if they meet one of the following criteria:
The individual has had an annual income of at least $200,000 in each of the last two years, or $300,000 together with a spouse, and expects to maintain the same income level in current year.
The individual has a net worth of at least $1 million, excluding value of their primary residence.
